Terms of Service

These Terms of Service ("Terms") govern your access to and use of Labs, the website at labs.harmonicallylabs.com, and related products and services (collectively, the "Service") provided by Harmonically Labs ("Harmonically Labs," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. Agreement to these Terms
If you use Labs on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, do not use the Service.
Our Privacy Policy explains how we collect and use personal information. By using the Service, you also acknowledge that policy.
2. The Service
Labs is a workspace platform for freelancers and agencies. Features may include CRM, outbound email, documents and contracts, invoicing and payments, public booking, tasks, team seats, optional AI-assisted quoting or document assistance, and related tools.
We may modify, add, or discontinue features over time. We will try to provide reasonable notice of material changes that negatively affect paid plans when practicable.
3. Accounts and workspaces
You must provide accurate account information and keep it up to date. You are responsible for activity under your account and for safeguarding credentials.
Workspace administrators are responsible for managing member access, content, and client-facing surfaces (such as booking pages or public AI quote assistants) associated with their workspace.
You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to use Labs.
4. Acceptable use
You agree not to misuse the Service. Prohibited activities include, without limitation:
- Violating applicable laws or regulations, including privacy, spam, consumer, export, or intellectual property laws.
- Sending unsolicited bulk email or other spam, phishing, or deceptive communications.
- Uploading or transmitting malware, or attempting to gain unauthorized access to systems or data.
- Infringing others’ intellectual property, privacy, or other rights.
- Using Labs to store or process content that is illegal, harmful, or that you do not have rights to use.
- Reverse engineering, scraping, or overloading the Service except as allowed by law or with our prior written consent.
- Reselling or providing the Service to third parties as a competing standalone product without our written permission.
5. Your content
You retain ownership of content you submit to Labs ("Customer Content"), including CRM data, documents, emails, and materials you create for clients.
You grant Harmonically Labs a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely as needed to provide and improve the Service, prevent abuse, and comply with law.
You represent that you have all rights necessary to submit Customer Content and to grant the license above, and that Customer Content does not violate these Terms or applicable law.
You are responsible for backups of Customer Content that are important to your business. We provide tools to export or download certain data, but you should maintain your own records as appropriate.
6. AI features
Optional AI features may generate suggestions, scopes, quotes, or document text. AI outputs can be inaccurate, incomplete, or inappropriate for your situation. You remain solely responsible for reviewing, editing, and approving any AI-assisted content before relying on it or sharing it with clients.
You must not use AI features to generate unlawful content or to attempt to extract model weights or proprietary systems. Public AI surfaces you enable may receive inputs from visitors; you are responsible for how those surfaces are presented and for handling resulting leads lawfully.
7. Plans, trials, credits, and billing
Labs may offer free, trial, and paid plans, as well as usage-based credits for certain features (such as email sending or AI assistance). Plan features, limits, pricing, and credit costs are described on our pricing page or in-product and may change.
Paid subscriptions renew automatically unless cancelled according to the cancellation process in your account or as otherwise stated at purchase. Fees are generally non-refundable except where required by law or expressly stated by us.
You authorize us and our payment processors to charge applicable fees, taxes, and overages to your selected payment method. Failure to pay may result in suspension or termination of paid features.
Trial or promotional offers may be limited in duration, eligibility, and features. We may modify or end promotions at our discretion.
8. Third-party services
The Service may integrate with third-party products (for example, payment processors, calendars, email infrastructure, analytics, or AI providers). Your use of those products may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.
9. Intellectual property
Labs, including its software, design, branding, and documentation, is owned by Harmonically Labs and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you.
Feedback you provide about Labs may be used by us without obligation to you.
10. Confidentiality
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect that information and use it only for purposes related to the Service, except where disclosure is required by law or the information is already public through no fault of the receiving party.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARMONICALLY LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that Customer Content will never be lost. You are responsible for appropriate business continuity measures.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARMONICALLY LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (US $100) IF YOU HAVE NOT HAD ANY PAID OBLIGATIONS.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
13. Indemnification
You will defend and indemnify Harmonically Labs against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Customer Content, your use of the Service, your violation of these Terms, or your violation of third-party rights or applicable law.
14. Suspension and termination
You may stop using Labs and close your account at any time, subject to any outstanding fees.
We may suspend or terminate access if you breach these Terms, if required by law, if your use creates risk or legal exposure, or if we discontinue the Service. Where reasonable, we will provide notice. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.
15. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. If changes are material, we may provide additional notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws applicable in the jurisdiction where Harmonically Labs primarily operates, without regard to conflict-of-law principles, except where mandatory consumer protections in your country of residence require otherwise.
Disputes will first be addressed in good faith through contact at ahmad@harmonicallylabs.com. If unresolved, disputes may be brought in courts with competent jurisdiction, subject to mandatory local law.
17. General
These Terms, together with the Privacy Policy and any plan-specific or order terms, are the entire agreement between you and Harmonically Labs regarding the Service. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction or to an affiliate.
